Terms of Service
These Terms of Service ("Terms") govern access to and use of the FulfillPath platform and website. By using the service, or by signing an order form that references these Terms, your organization ("Customer") agrees to them. Where an executed order form or master agreement exists between Customer and FulfillPath, that document controls if it conflicts with these Terms.
The service
FulfillPath provides a multi-tenant operations platform covering catalog, inventory, purchasing, warehouse execution, order management, shipping, and channel integrations, along with the add-on modules a Customer enables. We may update features over time; we will not materially reduce the core functionality of a paid plan during a paid term.
Accounts and access
Customer is responsible for provisioning users, assigning roles, and keeping credentials confidential. Customer is responsible for activity that occurs under its users, and must promptly notify us of any unauthorized use. We may suspend access where necessary to protect the service or other tenants, and will restore it once the issue is resolved.
Customer data and ownership
As between the parties, Customer owns the operational data it processes in its tenant. Customer grants us the limited rights needed to host and operate the service on its behalf. Customer can export its data at any time and may request a full structured export on termination. We do not sell Customer data and do not use it to train external models.
Acceptable use
Customer agrees not to misuse the service, including by attempting to breach tenant isolation, probe or bypass security controls, interfere with other tenants, reverse engineer the platform except as permitted by law, or use the service in violation of applicable law or third-party marketplace and carrier terms.
Fees and payment
Fees are set out in the applicable order form and are billed per tenant on the stated term, scaling with order volume where indicated. Unless the order form says otherwise, fees are due on the stated schedule, are non-refundable except as expressly provided, and are exclusive of taxes. We may adjust list pricing for renewal terms with prior notice.
Service levels and support
Support and any uptime or response-time commitments are described in the applicable plan or order form. Migration and the parallel-run window are provided so that Customer moves to production only when reconciliation is clean, rather than on a fixed cutover date.
Third-party integrations
The service can connect to third-party systems that Customer chooses to enable, such as marketplaces, carriers, and accounting tools. Those systems are governed by their own terms, and their availability and behavior are outside our control. Customer is responsible for maintaining valid credentials and complying with each provider's terms.
Warranties and disclaimers
We will provide the service with reasonable skill and care. Except as expressly stated, the service is provided on an as-is basis and we disclaim implied warranties to the extent permitted by law. We do not warrant that the service will be uninterrupted or error-free, though we design for reliability and recoverability.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Each party's aggregate liability arising out of or related to the service is limited to the fees paid or payable by Customer in the twelve months before the event giving rise to the claim. These limits do not apply to a party's confidentiality or data-protection breaches or to amounts owed under the order form, except where prohibited by law.
Term and termination
These Terms apply for the duration of the order form or, for free or trial use, until access ends. Either party may terminate for a material breach that remains uncured after written notice. On termination, Customer's right to use the service ends, we provide a data export window, and we then delete or de-identify tenant data as described in the Privacy Policy, subject to expiring backups.
Governing law and changes
These Terms are governed by the law stated in the order form, or, absent one, by the law of the jurisdiction in which FulfillPath is established. We may update these Terms; for material changes affecting a paid plan we will provide notice, and continued use after the effective date constitutes acceptance.
